1. Eligibility

You must be at least 18 years old to use this Platform. By using SongPartner, you represent and warrant that you meet this requirement.

2. Nature of Services

SongPartner is a platform that allows songwriters to upload original songs and potentially be matched with music industry professionals or artists. SongPartner does not represent, broker, negotiate, or participate in any contractual agreements between songwriters and industry professionals. We are a matchmaking platform.

3. User Accounts

To access certain features, you must register and create an account. You agree to provide accurate, current, and complete information and to maintain the security of your account credentials.

4. Fees and Payments

Songwriters will be charged a fee to upload songs to the Platform. All fees are non-refundable unless otherwise stated. We may introduce subscription or access fees for industry professionals in the future with proper notice.

5. User Content and Ownership

You retain full ownership of any songs, lyrics, compositions, or other materials ("User Content") you upload to SongPartner. By uploading, you grant SongPartner a limited, non-exclusive, royalty-free license to display, host, and make your content available on the Platform for the purpose of facilitating exposure and potential matches.

We do not claim ownership over your creative work.

6. Confidentiality and Privacy

SongPartner takes the confidentiality and privacy of your content seriously. We will not share, distribute, or use your uploaded materials for any purpose other than providing our matchmaking services.

We do not publicly publish full-length songs unless authorized by you. We encourage songwriters to upload only demo versions or lyrics if they are concerned about full exposure.

7. User Responsibilities

You are solely responsible for:

• Ensuring that your User Content is original and does not infringe on any third-party rights.
• Managing communications and any resulting relationships with professionals or artists you are matched with.
• Complying with all applicable laws and regulations.

8. Prohibited Conduct

You agree not to:

• Upload infringing, obscene, defamatory, or otherwise harmful content.
• Attempt to bypass our matchmaking or payment systems.
• Misrepresent your identity, your content, or your rights to that content.

9. Intellectual Property of SongPartner

All content on the Platform excluding User Content, including trademarks, logos, and website design, is the property of SongPartner and may not be used without our prior written consent.

10. No Guarantee of Match or Success

SongPartner makes no representations or guarantees that:

• Your songs will be matched with a professional or artist.
• Any deal, sale, or commercial opportunity will result from use of the Platform.

11. Termination

We reserve the right to terminate or suspend your account at any time for violations of these Terms or for any other reason, with or without notice.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available." SongPartner disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, SongPartner shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Platform, including any disputes between users.

14. Indemnification

You agree to indemnify, defend, and hold harmless SongPartner from any claims, damages, or expenses resulting from your use of the Platform or violation of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the Platform or by email. Continued use of the Platform after changes means you accept the new Terms.

16. Governing Law

These Terms shall be governed by the laws of the State of Illinois, without regard to its conflict of laws principles.
